These Terms and Conditions ("Terms") govern your access to and use of this website, any digital business cards or web applications developed and hosted for clients, and any services provided by SRI IT Solutions, which also operates under the brand name "Tech Brains" for ERP, AI and IT consultancy services. SRI IT Solutions is a business registered in India under GSTIN 09ADDPU2786K1ZU, with its registered office at M-42, Block C, Ravindrapuri, Varanasi, Uttar Pradesh, India ("we", "us", "our", "the Company").
By accessing this website, engaging our services, or using any digital product developed by us, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. About Tech Brains & SRI IT Solutions
"Tech Brains" is a brand name under which SRI IT Solutions operates. All contracts, invoices, GST filings, and legal obligations relating to services provided under the Tech Brains brand are undertaken by SRI IT Solutions as the registered legal entity. References to "Tech Brains" and "SRI IT Solutions" in any communication, proposal, or invoice refer to the same legal entity.
2. Services Offered
We provide the following categories of services, the specific scope of which is defined in individual project proposals, quotations, or agreements:
- ERPNext / Frappe implementation, customisation, and support
- AI automation and workflow integration
- Website, web application, and digital business card design & development
- Digital marketing, including SEO, social media management, and paid advertising
- IT resource outsourcing and consultancy
- Annual Maintenance Contracts (AMC) and ongoing technical support
3. Quotations, Payments & GST
- All quotations and invoices issued by us include applicable GST as per Indian tax law, unless explicitly stated otherwise. Our GSTIN is 09ADDPU2786K1ZU.
- Project costs, timelines, and payment schedules are agreed upon in writing (via email, proposal document, or signed agreement) before work begins.
- Unless otherwise agreed, projects are billed in milestones — typically an advance payment to commence work, followed by milestone-based or final payments upon delivery.
- Late payments may result in suspension of ongoing work or support services until outstanding amounts are settled.
- Recurring services (such as AMC, hosting, or retainer-based marketing) are billed on the agreed cycle (monthly/quarterly/annually) and continue until cancelled in writing by either party with the notice period specified in the relevant agreement.
4. Client Responsibilities
To enable us to deliver services effectively, clients agree to:
- Provide accurate, complete, and timely information, content, and access (e.g., hosting credentials, brand assets, business data) required for the project
- Designate a point of contact for approvals and feedback within agreed timeframes
- Ensure that any content, data, or materials provided to us for use in a project do not infringe on third-party intellectual property rights
- Maintain the confidentiality of any login credentials, admin access, or API keys provided as part of delivered systems
5. Intellectual Property
- Upon full payment for a project, ownership of custom-developed deliverables (such as website code, custom ERPNext modules, or digital business cards built specifically for the client) transfers to the client, except for any third-party components, open-source software (such as ERPNext/Frappe itself, Bootstrap, or other libraries), or pre-existing tools and frameworks used in development, which remain governed by their own respective licenses.
- We retain the right to showcase completed work (excluding confidential or sensitive business data) in our portfolio and marketing materials, unless the client requests confidentiality in writing.
- Any proprietary frameworks, templates, code libraries, or methodologies developed by us prior to or independent of a specific client project remain our intellectual property and may be reused across projects.
6. Third-Party Services & Integrations
Our services may involve integration with third-party platforms (such as WhatsApp, Google Maps, YouTube, payment gateways, hosting providers, or open-source frameworks like ERPNext/Frappe). We are not responsible for the availability, performance, pricing changes, or policy changes of these third-party services. Use of such services is also subject to their respective terms and privacy policies.
7. Warranties & Limitations of Liability
- We undertake projects with professional care and skill, in line with industry-standard practices for ERP implementation, web development, AI automation, and digital marketing.
- We do not guarantee specific business outcomes (such as a particular increase in sales, leads, or search rankings) as these depend on factors outside our direct control, including market conditions, client-side execution, and third-party platform changes.
- To the maximum extent permitted by applicable law, our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
- We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of our services or any system we develop or implement.
8. Support, Bug Fixes & AMC
Unless covered under a separate AMC or support agreement, a limited warranty period for bug fixes (typically 30 days from delivery, or as specified in the project agreement) applies to newly delivered websites, applications, or ERP configurations — covering defects in functionality delivered as part of the original scope. Requests for new features, design changes, or scope additions after delivery are treated as new work and quoted separately.
9. Cancellations & Refunds
- Advance payments made to commence a project are generally non-refundable once work has begun, as they cover initial planning, resource allocation, and setup costs.
- If a project is cancelled by the client after work has commenced, the client remains liable for payment proportionate to work completed up to the cancellation date.
- Refund requests, where applicable, will be evaluated on a case-by-case basis in accordance with the specific project agreement.
10. Digital Business Cards & Hosted Products
For digital business cards and similar hosted products built on behalf of clients (including those deployed on the client's own hosting account), the client is responsible for maintaining their own hosting subscription, domain registration, and any third-party service costs (such as Google Maps API usage) unless explicitly included in our service agreement. We are not responsible for service interruptions caused by the client's hosting provider, domain expiry, or third-party API limits.
11. Confidentiality
We treat client business information, data, and project details as confidential and will not disclose them to third parties, except: (a) as necessary to deliver the agreed services (e.g., to sub-contractors bound by confidentiality obligations), (b) as required by law, or (c) with the client's consent.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Varanasi, Uttar Pradesh, India.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. The "Last updated" date at the top of this page indicates when these Terms were last revised.
